Terms of Service

1. Acceptance of Terms

By accessing or using ACB Platform (the "Service"), operated by ACB Platform Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and ACB Platform Inc. Please read them carefully before using our Service.

2. Description of Service

ACB Platform provides an API and web-based tools for calculating Adjusted Cost Base (ACB) for Canadian securities. The Service includes:

• Security lookup and distribution data
• Automated ACB calculations
• Return of Capital (ROC) tracking
• Superficial loss detection
• Corporate action adjustments

3. No Tax, Legal, or Financial Advice

3.1 Best Efforts Basis

All calculations and data provided by the Service are offered on a "best efforts" basis. While we strive for accuracy, we make no guarantees, representations, or warranties regarding:

• The accuracy, completeness, or timeliness of any data
• The correctness of any ACB calculation
• The suitability of any calculation for your specific tax situation
• Compliance with Canada Revenue Agency (CRA) requirements

3.2 Professional Verification Required

You are solely responsible for verifying all calculations with a qualified tax professional, chartered professional accountant (CPA), or tax lawyer before:

• Filing any tax return
• Making any financial or investment decision
• Relying on any ACB calculation for any purpose

3.3 No CRA Endorsement

ACB Platform is not endorsed, approved, or affiliated with the Canada Revenue Agency (CRA). The CRA may interpret tax rules differently than our calculations suggest. We do not guarantee that our calculations will be accepted by the CRA.

4. Limitation of Liability

4.1 No Liability for CRA Outcomes

Under no circumstances shall ACB Platform Inc. be liable for:

• Any tax penalties, interest, or additional taxes assessed by the CRA
• Any audit, reassessment, or investigation by the CRA
• Any discrepancy between our calculations and CRA determinations
• Any consequence of relying on our calculations for tax filing

4.2 No Warranty on Data Accuracy

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including:

• Warranties of merchantability
• Warranties of fitness for a particular purpose
• Warranties of accuracy or reliability
• Warranties of non-infringement

4.3 Maximum Liability

In no event shall our total liability to you exceed the greater of:

• The amount you paid to us in the twelve (12) months preceding the claim, or
• One hundred Canadian dollars (CAD $100.00)

4.4 Exclusion of Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or goodwill
• Tax penalties or interest
• Cost of substitute services
• Any damages arising from errors in calculations

5. Indemnification

You agree to indemnify, defend, and hold harmless ACB Platform Inc. and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your reliance on any calculations provided by the Service
• Any tax filings based on information from the Service

6. User Acknowledgments

By using the Service, you acknowledge and agree that:

• You have read and understood these disclaimers
• You will verify all calculations with a qualified professional
• You assume all risk associated with using the Service
• You will not hold us liable for any tax-related outcomes
• Our data may contain errors, omissions, or be out of date
• Tax laws change and our calculations may not reflect current law

7. Acceptable Use

You agree not to:

• Scrape, harvest, or systematically download data from the Service
• Circumvent rate limits or access controls
• Share API keys or allow unauthorized access
• Resell or redistribute our data without authorization
• Use the Service for any illegal purpose
• Attempt to reverse engineer the Service

8. Account Termination

We may suspend or terminate your account at any time, for any reason, without notice. Upon termination, your right to use the Service ceases immediately.

9. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved in the courts of Ontario, Canada.

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ACB Platform Inc. regarding the Service.
